GOVERNANCE

 

By-laws

 

A By-law is a governance document that contains an overview of the operations of an organization in general terms.  Its purpose is to regulate the organization.  Generally, a By-law will cover topics such as how Directors are elected and how meetings are conducted.  It will also list the Officers and their duties, as well as the Standing Committees and what their mandate will be.

 

A By-law cannot be amended by the Directors; rather, amendment of the By-law requires a two-thirds majority vote of all voting members present and eligible to vote at an Annual General or Special Meeting of Members.  By-laws cannot contradict governmental law.

 

PTSC is an incorporated, not-for-profit organization created to provide soccer to the community at a competitive level for youth players aged 13 to 18.  Directors of PTSC serve without any remuneration. 

 

Structure

 

PTSC operates with an elected Board of Directors and an Executive Committee appointed from the Board of Directors.  The Executive Committee includes the following officers:  President, Vice-President(s), Secretary, Treasurer and Past President.  Directors also chair the various standing committees, including but not limited to the following:

 

Technical Committee

Executive Committee

Operational & Finance Committee

Coaching

Human Resources

Budget

Entry Level

Nominations

Registration

Inter & Intra Club Transfers

Communications & PR

Sponsorship & Fundraising

Tryout & Age Advancement

Mediation & Discipline

Banquet

 

 

Equipment & Facilities

 

 

The Board of Directors or the Executive may from time to time establish other Standing Committees and/or Ad Hoc Committees as the need arises.  All committees are accountable to the Board of Directors. 

 

Operational Policies, Rules, Regulations and Guidelines

 

A policy manual reflects the organization’s basic philosophy and provides guidelines for actions and directions for plans in order to attain the established objectives and goals of the organization.  Policies guide decisions and indicate how to put the governance (by-law) into process. 

 

Policies may be broad, allow room for interpretation and the exercise of judgment and initiative; or they may be detailed and specific, indicating a pre-determined conduct or outcome.  Directors can implement and amend policy.

 

The Board of Directors are developing a policy manual which will contain the Operational Policies, Rules, Regulations and Guidelines that will guide all PTSC operations.  The policies, rules, regulations and guidelines will be posted on the website as they are completed, and may be updated or amended from time to time by the Board of Directors.
